1. Acceptance of Terms

Welcome to humanOS. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and humanOS ("we," "us," or "our") governing your access to and use of the humanOS.ai website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of Service

humanOS is an AI-powered life optimization platform designed to help users manage and enhance their personal and professional lives. The Service includes, but is not limited to:

AI-driven schedule optimization and planning
Energy-based task scheduling and recommendations
Productivity pattern analysis and insights
Third-party app integrations (calendars, task managers, health trackers)
Personalized optimization programs and workflows
Performance analytics dashboards and reports

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Maintain the security and confidentiality of your login credentials.
  • Immediately notify us of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscription Plans, Billing, and Payments

4.1 Plans and Pricing

The Service is offered through tiered subscription plans, each providing different levels of features and capacity. Current plan details and pricing are available on our Pricing page. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

4.2 Billing and Payment

All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual).
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • All fees are exclusive of taxes, which may be added where required by law.

4.3 Refunds

Payments are generally non-refundable. However, if you cancel within 14 days of your initial subscription or an upgrade to a higher plan, you may request a full refund by contacting our support team. Refunds are not available for partial billing periods or after the 14-day window.

5. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Use the Service to transmit harmful, offensive, or illegal content.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems and networks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service without our written permission.
  • Resell, sublicense, or redistribute the Service or any part thereof.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Share your account credentials with others or allow multiple individuals to use a single account (except as permitted by team plans).

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its design, features, AI algorithms, software, text, graphics, logos, and all other content, is owned by humanOS and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

6.2 Your Content

You retain ownership of all data, content, and information you submit to the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store your User Content solely for the purpose of providing, maintaining, and improving the Service for you. This license terminates when you delete your User Content or your account.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual license to use that Feedback for any purpose, including improving the Service, without any obligation or compensation to you.

7. AI-Generated Content and Recommendations

The Service uses artificial intelligence and machine learning to generate schedule optimizations, productivity recommendations, energy-based suggestions, and other insights. You acknowledge and agree that:

Advisory Only

All AI-generated recommendations are advisory in nature and should not be considered professional advice (medical, financial, legal, or otherwise).

No Guarantee of Accuracy

While we strive for high-quality outputs, AI-generated content may contain inaccuracies or may not be suitable for your specific circumstances.

Your Responsibility

You are solely responsible for evaluating and acting upon any AI-generated recommendation. humanOS is not liable for decisions you make based on the Service's outputs.

Continuous Improvement

AI models and algorithms are updated over time. Recommendations may change as our technology evolves, and past suggestions may not reflect current system behavior.

8. Third-Party Integrations

The Service may allow you to connect with third-party applications and services. When you enable these integrations:

  • You authorize us to access and process data from those third-party services in accordance with the permissions you grant.
  • Your use of third-party services is governed by their respective terms and privacy policies, which we do not control.
  • We are not responsible for the availability, accuracy, or practices of any third-party service.
  • You may disconnect any integration at any time through your account settings.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Disclaimer of Warranties. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages. In no event shall humanOS, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Cap on Liability. Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless humanOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms.
  • Your use or misuse of the Service.
  • Your violation of any applicable law or the rights of any third party.
  • Any User Content you submit through the Service.

11. Termination and Account Cancellation

11.1 Cancellation by You

You may cancel your subscription or delete your account at any time through your account dashboard. Upon cancellation:

  • Your account will remain active until the end of the current billing period.
  • You will retain access to your data during this period.
  • After the billing period ends, your account and data will be handled according to our Privacy Policy data retention section.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • You breach any provision of these Terms.
  • Your payment method fails and is not resolved within a reasonable period.
  • We are required to do so by law.
  • We reasonably believe your account is being used for fraudulent or harmful purposes.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will continue to apply.

12. Data Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

In particular, the Privacy Policy describes how your data interacts with our AI-powered features, including pattern recognition, personalized optimization models, and aggregated analytics. We encourage you to review the Privacy Policy in full.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify you by email or through an in-app notification at least 30 days before the changes take effect.
  • Provide you with the opportunity to review the updated Terms before they become effective.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service will be resolved as follows:

  • Informal Resolution: We encourage you to contact us first at legal@humanos.ai to attempt to resolve the dispute informally.
  • Binding Arbitration: If informal resolution fails, the dispute will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Houston, Texas.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

15. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and humanOS regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor.
